Which company type is right for a foreigner?
Almost every foreign founder registers a d.o.o. (društvo sa ograničenom odgovornošću), the Montenegrin limited liability company. One founder is enough, the founder can be the director, liability is limited to the company assets and the minimum share capital is €1. Joint stock companies and branches exist but are rarely the better choice for a small or medium business.
Can I register without travelling?
Yes. A notarised and apostilled power of attorney lets us sign the founding act and file the registration on your behalf. Most founders travel once, for the biometric appointment of the residence permit and to sign at the bank, and we schedule both into the same short visit.
Taxes after registration
Corporate income tax is 9% on profit up to €100,000, with 12% and 15% brackets above that. VAT is 21% (7% reduced rate) and registration becomes mandatory above €30,000 annual turnover. Dividends paid to the founder are taxed at 15% withholding, reduced under many double taxation treaties. We give you a written monthly budget before you register.
What the company is for
For most clients the company is the legal basis of a residence and work permit: the founder is employed as executive director, pays social contributions and receives a one-year temporary residence card that is renewed while the company operates. After five years of continuous temporary residence, permanent residence becomes available.
